1. Introduction

Welcome to Promptil ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our AI API platform, services, and website (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Account Terms

  • •You must be at least 18 years old to use our Service.
  • •You are responsible for maintaining the security of your account and password. Promptil cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  • •You are responsible for all content posted and activity that occurs under your account.
  • •You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.

3. API Usage and Limits

Our Service provides access to AI models through an API. Your usage is subject to the limits associated with your subscription plan:

  • •API calls are measured and limited according to your plan. Exceeding limits may result in temporary suspension of service or additional charges.
  • •You may not attempt to bypass rate limits or use automated systems to make excessive requests.
  • •We reserve the right to throttle or suspend accounts that abuse the Service.

4. Payment and Subscription

  • •Subscription fees are billed in advance on a monthly or annual basis, depending on your plan.
  • •All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
  • •You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • •We reserve the right to change our pricing with 30 days notice. Price changes will not affect your current billing cycle.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Promptil and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Service. By using the Service, you grant Promptil a license to use, store, and process your content solely for the purpose of providing and improving the Service.

6. Prohibited Uses

You agree not to use the Service to:

  • •Generate, distribute, or facilitate the creation of illegal, harmful, or fraudulent content
  • •Violate any applicable laws, regulations, or third-party rights
  • •Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • •Transmit any viruses, malware, or other harmful code
  • •Interfere with or disrupt the Service or servers connected to the Service
  • •Reverse engineer, decompile, or disassemble any portion of the Service

7. Service Availability

We strive to maintain high availability of our Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months prior to the event giving rise to the liability.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
